AGREEMENT FOR A TRIAL ACCOUNT FOR TAANSCRIPTION SERVICES

THIS AGREEMENT, made, and time stamped, at the time of submitting the electronic form below, between Vuescribe Medical Information Management Inc. (hereinafter called “Business Associate”) and the User as Identified by the name submitted in the form below (hereinafter called the client.

GENERAL TERMS: In consideration of mutual promises and agreements of the parties hereto, the Business Associate agrees to provide transcription services to Client according to the terms set forth herein below:

1. Transcription services shall be provided by Business Associate in accordance with the general documentation guidelines and form. All digital files, voice files, documents, patient’s log sheets that are stored as digital data will be encrypted and stored in compliance with legislation of the Provinces of British Columbia, Alberta and Ontario, as well as the United States HIPAA guidelines.
2. Business Associate agrees to keep patient and Client information confidential. All client’s documents will be shredded or otherwise destroyed prior to disposal. Client files will be protected from unauthorized viewing and computer files shall be encrypted in accordance with Company Policies and Procedures.
3. Business Associate represents that transcription services are usually completed within 24 to 48 hours.
4. Business Associate shall provide transcription services under this agreement at no cost to the Client, for the purposes of evaluating the transcription service for the time period as determined by the Business Associate.
5. This Agreement contains the entire understandings of the parties, and there are no representations, warranties, covenants, or undertakings other than those expressly set forth herein.
6. LIABILITY WAIVER: Business Associate will review each transcript for accuracy and spelling. Client acknowledges and agrees that the final responsibility for insuring the accuracy of the transcript rests with the Client. Client agrees to waive liability against Business Associate and its employees, agents and representatives except for breach of this Agreement. In addition, Client agrees to hold Business Associate harmless against any claims arising out of the performance of this Agreement which might be asserted by third parties.
7. This agreement shall remain in effect until the end of the trial period or such time as the Client has dictated 300 lines of transcription, unless otherwise terminated by either party.
8. The Business Associate retains the right to cancel or withdraw the offer described in this agreement at any time at their sole discretion. Upon cancellation all work in progress will be destroyed and files deleted at the discretion of the Business Associate and in compliance with the legislation concerning the protection and secure destruction of confidential patient information.
